Audio - Pitch is changing when playing WAV files

When playing wav files (not mp3), the pitch is slightly changing, up, and down, and up... and so on.
This is very subtle but very irritating, it and makes me crazy (and therefore, i can't listen to my favourite tracks with vlc anymore).
I tried changing everything in the audio preferences - at the end, it's the same.
Anyone experiencing this ?
I'm not an expert, but this sounds like an unstable audio frequency rate, like vlc is playin from 43500 to 44600, and so on... - instead of a stable 44100.

Pentium 4 / 2.53 Ghz - 1 Go Ram
Windows XP SP2.

Tools -> Messages... (set Verbosity to 2) shows any error messages during playback?

i get this :
resampling stopped after 12460566 usec (drift: 6921)

and this :

buffer is 68148 late, triggering upsampling

and when navigating in the audio track :

audio drift is too big (151899), dropping buffer
main warning: audio drift is too big (128680), dropping buffer
main warning: resampling stopped after 12334217 usec (drift: -2081)

How high is the CPU usage of vlc.exe when you play wav file?
