Assuming you have VLC 0.9.x go to:
Start >> Run...

And try entering (source here):

"C:\Program Files\VideoLAN\vlc.exe" -vvv "INPUT" :sout=#transcode{width=320,canvas-height=240,vcodec=mp4v,vb=768,acodec=mp4a,ab=96,channels=2}:duplicate{dst=std{access=file,mux=mp4,dst=C:\video.mp4}} vlc://quit
Where INPUT is the location of the file you want to covert. It should output the file "C:\video.mp4".

But as CloudStalker said search using e.g. Google if you want a simple drag-and-drop iPod video converter.
