streaming audio chirps when played

We are low on bandwidth and are trying to be creative by restributing a live stream to other public servers on the Internet. We are sending the original live stream out using udp broadcast, mp4v video codec, and mga audio codec, then we are transcoding, and resistributing using mms, div3 video codec, and mp3 audio. Not sure that plays a role in all this, but worth mentioning. the originating source is an Ubuntu 8.04 box. Audio is clear on this box, except when streaming. We are using a P4 windows box to pick up and resistribute the original stream. The resulting streams audio all sound a bit like chirping, or something being rattled together in the background. I have experimented some with different audio codecs, but have not had success redistributing the stream when I make those changes.
