How to transcode to file with cmd vlc 1.0.2

Hi

I need a correct command which i can write on terminal using Ubuntu 9.10 Karmic ,with vlc 1.0.2

I need to input rtsp stream and output vcodec=h264 acodec=mp4a vb=512 ab=64 acess=file mux=ts samplerate=44100 .
No display ,no interface (using command cvlc) ,no deinterlace .
So basically i know what i want ,but i`m having trouble with syntax
